The Kynship App — Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Merchant," "you," or "your") and Kynship LLC ("Kynship," "Company," "we," "us," or "our"), governing your access to and use of The Kynship App (the "Service" or "App").By installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.1. Description of ServiceThe Kynship App is a Shopify application that enables merchants to send, track, and report on influencer seeding orders directly from within their Shopify store.

‍Agency Services: These Terms govern the App only. Separate agency engagements are governed by a Master Services Agreement (MSA) or Statement of Work (SOW). In the event of a conflict, the Service Agreement shall control.

2. Acceptance and Modifications‍Agreement to Terms:
Your installation constitutes acceptance. If using on behalf of an organization, you warrant you have the authority to bind that organization. Modifications: We reserve the right to modify these Terms at any time. Continued use following modifications constitutes acceptance of the revised Terms.

3. Account Access and Registration‍Shopify Integration:
Access requires a valid Shopify store account. You authorize Kynship to access data (customer, order, product, and shop configuration) required to provide the Service. Eligibility: You must be at least 18 years of age. Responsibilities: You are solely responsible for all activities under your account and must notify us of any unauthorized use.

4. Subscription and Billing‍Billing Through Shopify:
All payments are handled exclusively through Shopify's platform on a recurring monthly basis. Free Trial: If you do not uninstall the App before a trial ends, you will be automatically charged. Cancellation (Your Responsibility to Uninstall): > CRITICAL: Cancellation is effected solely by uninstallation. As long as the App remains installed, Shopify will continue to charge you regardless of actual usage. Kynship has no obligation to proactively uninstall the App for you. Refunds: All fees are non-refundable. Kynship will not issue refunds for periods where the App remained installed but was not used.

5. License and Intellectual Property‍License to Use:
We grant you a limited, non-exclusive, revocable license for internal business purposes. User Data: You retain ownership of your data. You grant Kynship a license to process this data solely to provide and improve the Service. Company Materials: The App’s software, algorithms, and design are the exclusive property of Kynship.
Feedback: Any suggestions provided to Kynship may be used without compensation or attribution.

6. User Responsibilities and Acceptable Use‍Compliance:
You must comply with all laws, including the FTC’s Endorsement Guides.
Prohibited Conduct: You may not use the App for fraudulent purposes, reverse engineer the code, or engage in data scraping.
Influencer Relationships: You are solely responsible for the accuracy of your data and the terms of your arrangements with influencers.

7. Privacy and Data Protection‍Privacy Policy:
Our data practices are governed by our Privacy Policy at kynship.co/privacy Security: We implement reasonable safeguards but cannot guarantee absolute security for data transmitted over the internet.

8. Service Availability and Support‍"As Available":
We do not guarantee uninterrupted or error-free operation. We may modify or discontinue the Service at any time. Support: Technical support is provided via support@kynship.co on a commercially reasonable basis.

9. Disclaimers of Warranties
‍THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL IMPROVE YOUR SALES OR BUSINESS METRICS.

‍10. Limitation of Liability
‍TO THE MAXIMUM EXTENT PERMITTED BY LAW, KYNSHIP IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL AGGREGATE LIABILITY IS LIMITED TO THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 IF NO FEES WERE PAID).

‍11. Indemnification
‍You agree to defend and hold Kynship harmless from claims arising from your use of the Service, your violation of these Terms, or your interactions with influencers.

‍12. Dispute Resolution and Arbitration‍Informal Resolution:
You must first attempt to resolve disputes informally for at least 30 days. Binding Arbitration: Unresolved disputes will be settled via binding arbitration through JAMS in Wilmington, North Carolina.
Class Action Waiver: You waive the right to pursue claims on a class or representative basis. Opt-Out: You may opt out of arbitration by emailing support@kynship.co within 30 days of your first use.

13. Governing Law
‍These Terms are governed by the laws of the State of North Carolina.

‍14. Termination‍By User:
Uninstall the App. Access continues until the end of the current billing period. By Kynship: We may terminate access immediately for breaches, fraud, or risk mitigation.

15. General Provisions‍Entire Agreement:
These Terms and the Privacy Policy constitute the full agreement. Severability: If any part is found invalid, the rest remains in effect. Force Majeure: We are not liable for delays caused by events beyond our control (e.g., natural disasters, cyberattacks). Contact: Questions can be directed to support@kynship.co.
